The escrow procedure at the Stockholm Chamber of Commerce
Agreements:
- The Model Agreement (“SCC Deposition 2014”) and Amendment Agreement can be downloaded below. The Model Agreement cannot be changed, therefore any desired changes you wish to make should be noted in the Amendment Agreement.
- Adjust the Amendment Agreement based on the circumstances of your individual case without changing the provisions relating to the Stockholm Chamber of Commerce (the “SCC”) (see “Comments to the Stockholm Chamber of Commerce (SCC) Escrow Model Agreement 2014”).
- By signing the Amendment Agreement, you commit to the terms and conditions of the SCC Deposition 2014, excluding any changes made to the Amendment Agreement.
- The draft Amendment Agreement should then be sent by email to the SCC for verification at escrow@chamber.se
- After confirmation has been received, you must sign the Amendment Agreement in three (3) originals and send these to the SCC at the following address for signing:

- The material can now be put in escrow in accordance with the instructions found in Section 2 of the Model Agreement.
Escrow deposit:
- The complete source code and documentation must then be packaged accordingly. The SCC does not verify the code; instead, the parties involved must settle on how it should be verified.
- Securely seal the package so that it is unable to be tampered with or reopened.
- The outside of the sealed package should include the parties’ names, registration numbers, contents, and date of sealing. This is the deposit itself, which the SCC is prohibited from opening.
- A cover letter, if accompanied by the deposit, should not be placed inside the package.
- Place the deposit (and cover letter if applicable) in an envelope marked “Escrow” and post it to the SCC at the following address.
